Sami Arap is a senior partner and founding member at Arap, Nishi & Uyeda and is a Co-Leader of the firm’s Infrastructure Practice as well as Co-Chair of the Corporate Practice Group. He has been active in Brazil and abroad since 1988. Sami’s practice encompasses a broad range of transactions, particularly those involving international players doing business in Latin America such as project development and M&A. Sami’s clients include investors from the Americas, Europe, Asia, Africa and Oceania. He has significant experience representing foreign investors in Brazil. Sami’s primary areas of practice include project development and project finance, M&A, joint ventures, advising clients on privatizations and international bid tenders, overseas business operations, and identifying and mitigating risks, including on FCPA and other international compliance issues, arbitration and ADR matters, as well as the enforcement of foreign awards and judgments in Brazil. Sami is often required to advise on complex litigation matters.

Silvia Nishi is senior and founding member of Arap, Nishi & Uyeda. She worked as a foreign associate at Cadwalader, Wickersham & Taft in New York (1998/1999). Also worked for many years in top law firms in Brazil. She has extensive experience in structured financed transactions and financing relating to infrastructure, real estate and agribusiness projects. Assisted various clients in cross border financing, syndicated loans, project and corporate finance, financing involving development banks and multilateral agencies. Also, assisted foreign clients in their investment in Brazil and Brazilian clients in their investments abroad.

Massami is senior and founder member of Arap, Nishi & Uyeda. He is Co-Leader of the firm’s Infrastructure and Corporate Practice. He has more than 25 years of professional experience. He started his career as legal counsel at CBPO (1992/1997) and worked as foreign associate at Clifford Chance in New York (1997/1998). Upon his return to Brazil, acted as general counsel of CCR S.A. since its incorporation until 2008. He has solid experience in infrastructure projects, corporate and finance transactions. Assist national and foreign clients of the firm in relevant infrastructure projects, including public concessions and Public Private Partnerships (PPPs). He is also member of Board of Directors and Consulting Committees of companies in various sectors.

Flávia has worked in top law firms in Brazil, acquiring vast experience in the structuration and negotiation of real estate operations and transactions, involving rural and urban real estate. Her area of expertise includes consulting, to national and foreign clients, in several matters related to the real estate area, such as: implementation and operationalization of real estate developments, including real estate incorporation and implementation of condominiums; creation of creative structures to eliminate/minimize legal risks in real estate operations; complex financing real estate transactions, with the constitution of in rem guarantees; as well as general transactions, such as sale and purchase, lease, non-typical lease agreements, jointly with legal structure and securitization operations, surface rights, fiduciary sales, mortgages, rural partnerships and rural lease agreements.
